Terms of Service

1. Research use only

ClearBAC products are sold for laboratory research use only.

They are not intended, sold, or supplied for human or veterinary use, for diagnostic procedures, or for therapeutic administration. They are not drugs, not medical devices, and are not approved by the FDA for any human or animal application.

By placing an order you represent and warrant that:

• you are purchasing the product for laboratory research purposes only;
• you will not administer it, or permit it to be administered, to any human or animal;
• you will not resell, repackage, or distribute it for human or veterinary use;
• you are qualified and equipped to handle laboratory materials safely; and
• your intended use complies with all applicable federal, state, and local law.

We reserve the right to refuse or cancel any order where we have reason to believe the product is intended for human use.

2. Eligibility

You must be at least 18 years old and legally able to enter a contract to purchase from us.

3. Orders and acceptance

Your order is an offer to purchase. We accept it when we ship. We may refuse or cancel any order at our discretion, including for suspected fraud, pricing errors, stock limitations, or where Section 1 gives us reason for concern. If we cancel a paid order, we refund it in full.

4. Pricing and errors

Prices are in US dollars and may change without notice. We make every effort to price and describe products accurately, but errors occur. Where a product is listed at an incorrect price, we may cancel the order and refund it rather than honor the error.

Credit card charges for orders placed through clearbac.co will appear on your statement with the descriptor "ClearBAC".

5. Certificates of Analysis

We publish a Certificate of Analysis for each production lot, prepared by an independent third-party laboratory, in our COA Library. COAs describe the tested lot as of the date of testing. They are not a warranty of fitness for any particular purpose, and they do not extend to material after it has left our custody or been opened.

6. Storage and handling

You are responsible for storing and handling product in accordance with the instructions provided and with your own facility's standards. We are not responsible for degradation, contamination, or loss resulting from improper storage or handling after delivery.

7. Disclaimer of warranties

Except as expressly stated in these Terms, products are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of liability

To the fullest extent permitted by law, TD Water LLC's total liability arising out of or relating to your purchase will not exceed the amount you paid for the product giving rise to the claim.

We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption.

Nothing in these Terms limits liability that cannot be limited by law. Because our products are sold strictly for research use, we accept no liability whatsoever for any consequence of human or veterinary administration, which is a use expressly prohibited by Section 1.

9. Indemnification

You agree to indemnify and hold harmless TD Water LLC and its officers, members, and agents from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of the product, or any administration of the product to a human or animal.

10. Intellectual property

The ClearBAC name, logo, site content, and COA presentation are our property. You may not copy or reuse them without written permission.

11. Governing law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Duval County, Florida, and you consent to that jurisdiction.

12. Changes

We may update these Terms. The "Last updated" date reflects the most recent version. Changes apply to orders placed after they are posted.
